Public-Sector IT Contracts: Technology Law Training for ASIN in Benin
We recently delivered a five-day training program in Cotonou on IT law for teams from the Agency for Information Systems and Digital Technology (ASIN) responsible for for the procurement and performance of public-sector IT contracts.
Established in 2022, ASIN is the government agency responsible for the operational implementation of Benin’s digital programs and projects. Its responsibilities include digital infrastructure, information systems, the digitalization of public services, and digital security.
Managing Legal Risk in Strategic IT Projects
For ASIN teams involved in public-sector IT contracts, legal issues are closely connected to the nature of the projects handled by the Agency, including digital infrastructure, service platforms, secure information systems, and public-sector digitalization projects.
The training focused on several key areas relevant to the preparation and performance of these contracts, including IT contracts, intellectual property, software license audits, and emerging technologies.
One of the main objectives was to help participants align public procurement requirements with the specific features of technology projects, including the definition of services, service levels, maintenance, security, reversibility, the management of rights in software and custom developments, and changes in requirements during contract performance.
From Procurement to Contract Performance
In IT projects, successful performance depends to a large extent on how clearly contractual obligations are defined from the outset.
For teams responsible for awarding and managing IT contracts, particular attention should therefore be given to:
1. translating technical requirements into precise and measurable contractual obligations;
2. defining deliverables, acceptance procedures, and service levels;
3. anticipating maintenance needs, system upgrades, and reversibility;
4. securing intellectual property rights and software licensing terms; and
5. providing mechanisms for addressing issues and changes arising during contract performance.
The training was designed to strengthen the teams’ ability to anticipate legal risks from the contract preparation stage, rather than having to address them after the project is already underway.
Bringing Together Legal, Procurement, and IT Expertise
ASIN’s projects sit at the intersection of several areas of expertise: technical, legal, contractual, and operational.
The five-day training program therefore focused on a cross-functional challenge: developing a shared understanding among public procurement teams, legal professionals, and information systems specialists.
For complex IT contracts, this collaboration is essential. It helps improve the quality of contractual documentation, better define and manage suppliers’ commitments, and secure the performance of digital projects throughout their lifecycle.
